MOTA Membership Terms

CONTENT CURRENTLY BEING STYLED/FINESSED

THIS MEMBERSHIP AGREEMENT (the “Agreement”) is effective as of this _____ day of _____________, 20___ (the “Effective Date”) by and between _________________, an __________ [company], doing business as MOTA ( “MOTA”), and ___________________, an individual who is 21 years of age or older (“Applicant” or “You”). MOTA and Applicant may be referred to hereinafter individually as a “Party” and collectively as the “Parties”. 

  1. MEMBERSHIP

  2. . MOTA operates an exclusive luxury members-only cannabis-friendly lounge (the “Lounge”) and spa (the “Spa”) (collectively, the “Premises”) where individuals with a membership (“Members”) and their permitted guests can socialize with each other, enjoy cannabis, as permitted by the Medicinal and Adult Use Cannabis Regulation and Safety Act (”MAUCRSA”) and all state and local regulations and ordinances promulgated thereto, and reserve, pay for and receive additional services such as massages (“Additional Services”). MOTA may revoke or change any membership privilege obtained through this Agreement at any point without prior notice to Members. Members may cancel or change their membership level by providing MOTA with thirty (30) days’ prior written notice. This Agreement shall remain in effect and be renewed monthly, quarterly or annually, as applicable, unless terminated by Applicant or MOTA. MOTA reserves the right to exclude guests or deny membership to any individual at MOTA’s sole discretion.(add cancellation after 1 yr initial commitment?)

    1. MEMBERSHIP CLASSES. Applicant would like to obtain the following membership level (please indicate the appropriate membership level):

  • Basic – includes access to the Lounge, the Spa, and Additional Services for You and three (3) guests, each of whom must be 21 years of age or older, for $199.00 per month for the first twelve (12) months of membership.

  • Elevated – includes access to the Lounge, the Spa and Additional Services for You and three (3) guests, each of whom must be 21 years of age or older, as well as private, key access lockers for $299 per month for the first twelve (12) months of membership.

  • Brand – includes access to the Lounge, the Spa and Additional Services for four (4) employees, each of whom must be 21 years of age or older, the ability to host one (1) event [per year]

  •  at MOTA (full space takeover), as agreed upon in a separate agreement between You and MOTA, ability to rent the ‘Flower Room’ for up to sixty (60) guests in designated areas of the Lounge, as agreed upon in a separate agreement between You and MOTA, and weekly & quarterly event sponsorship and branding opportunities, as agreed upon in a separate agreement between You and MOTA for [$10,000-$12,000]

  •  $5000 per year for the first twelve (12) months of membership.

  • Founding – includes lifetime access to the Lounge, the Spa and Additional Services for $[X] for the first twelve (12) months of membership.

  •  (Founding members will have a lifetime membership to the lounge. They will, however, have to pay for spa and additional services but their membership will be complimentary)

  • Charter – includes lifetime access to the Lounge, the Spa and Additional Services for $[X]. Charter members must bring in [X] new members every [month/year] for the first twelve (12) months of membership.

    1. PAYMENTS. Basic, Brand and Elevated Members may elect to pay at one of the following frequencies:

  • Monthly – membership fees shall be due on the first business day of each month for the previous month. Members beginning their membership in the middle of a month shall be charged a prorated amount for that month. 

  • Quarterly – membership fees shall be due on the first business day of each quarter for the previous quarter. Members beginning the membership in the middle of a quarter shall be charged a prorated amount for that quarter. 

  • Yearly – membership fees shall be due on the last business day of each year.

  1. ACCESS AND ENTRY 

    1. CHECK-IN. Members must check in and verify their identity at the front desk upon entry to the Premises

    2. . By providing photo ID and member card?

    3. GUESTS. A Member may bring guests with him or her to the Premises, as permitted by the Member’s membership level. Members may not bring more guests than permitted by their membership level. All guests must be 21 years of age or older. Members must remain with their guests at all times. Guests of a Member may not remain on the Premises after the Member has left. MOTA reserves the right to deny entry to any guest.

    6. CANCELLED MEMBERSHIPS. Members who have had their membership status suspended, revoked or otherwise cancelled shall be denied access to the premises until their membership status has been reinstated, as applicable. 

 

  1. GENERAL RULES

  2. . Members and their guests shall be mindful of their behavior and how it affects other Members and guests. Members and guests whose behavior is deemed inappropriate or offensive or who fail to follow the rules set forth by MOTA, including, but not limited to those enumerated in this Agreement may be asked to leave the Premises and may have their membership suspended or revoked. 

    1. OPERATING HOURS. Members and guests may only access the Premises between the hours of [X] and [X]. All Members and guests remaining on the Premises after [X] will be asked to leave promptly.

    3. CANNABIS POSSESSION AND USE. Cannabis use is allowed only within designated areas of the Premises. Members and guests may, within reason, enjoy cannabis offered at the J-Bar. All cannabis brought onto the Premises must have been obtained in accordance with and conform to all state requirements, including, but not limited to those set forth by MAUCRSA. Members and guests may not become overly intoxicated, such that they are a nuisance or a hazard. Members and guests may not bring onto the Premises or possess at any time they are on the Premises, cannabis in excess of the amount permitted by California Health and Safety Code 11362.1, which permits individuals to possess no more than (i) twenty-eight and a half (28.5) grams of cannabis not in the form of concentrated cannabis; (ii) eight (8) grams of cannabis in the form of concentrated cannabis, including as contained in cannabis products; and six (6) living plants. Members may not store cannabis in their lockers in excess of the limits specified by California Health and Safety Code 11362.1.

    4. ADDITIONAL SERVICES. Members of all membership levels and their guests may reserve, pay for and enjoy Additional Services. Additional Services may be reserved online or over the phone. Special requests for Additional Services, such as requesting specific individuals to perform the requested Additional Service, must be  made seventy-two (72) hours in advance. Reservations for Additional Services must be cancelled no later than 24 hours in advance. Failure to cancel a reservation for Additional Services no later than 24 hours in advance allows MOTA to bill for all or a portion of the Additional Services. 

    5. PROFANITY. Members and guests shall refrain from using excessive, loud, profane and inappropriate language, especially if such noise may carry outside the Premises. 

    6. DAMAGE. Members and guests shall be respectful of all MOTA property and shall not steal, damage or vandalize such property, including, but not limited to, all entrance and exit areas, restrooms, the Lounge and the Spa. If a Member or a Member’s guest damages any MOTA property, the Member’s account shall be billed for all damages caused thereby and MOTA may suspend or revoke his or her membership. 

    7. FOOD. Members and their guests may enjoy the complementary food and beverages available at the Lounge, but shall not do so to excessively. Members and guests may not take complementary food and beverage off the Premises. Members and their guests may also purchase food at the Lounge or have food delivered to the Lounge

    9. PERSONAL ITEMS. MOTA is not responsible for any damage, theft or loss of any personal articles of any Member or guest. Members or guests using lockers or any other storage areas agree to hold MOTA harmless from any claims arising from or related to the use of such lockers or storage areas. 

    10. FIRE SAFETY. Tampering or damaging fire equipment, or intentionally misusing fire alarms, smoke detectors, fire sprinklers, fire extinguishers, or emergency exit signs, or pulling the fire alarm for any reason other than notification of a fire, or disabling, opening, damaging or propping open exits used exclusively as fire exits, is strictly prohibited. 

    11. ANIMALS. No animals, reptiles or insects of any kind, other than verified trained service animals, shall be brought onto the Premises.

    12. SOLICITING. Unless specifically permitted by MOTA, canvassing, peddling, soliciting, and distribution of merchandise, handbills or any other written materials throughout the Premises are prohibited. 

    13. PHOTOGRAPHY AND ADVERTISING. MOTA reserves the right to take photos and use them for advertising and social media purposes. [Members and their guests may discretely take photographs of themselves and other Members and guests from whom they have received consent to do so, provided the volume or nature of such photography does not adversely affect the environment or enjoyment of other guests. MOTA staff may request such photography to be discontinued.]

    15. VERBAL ABUSE. MOTA strives to create a luxurious and relaxing environment where Members and guests can enjoy themselves. Respectful behavior by MOTA staff, Members, and guests is indispensable to creating such an environment. At no time and under no circumstances whatsoever shall MOTA tolerate abusive, violent, destructive or harassing behavior (collectively, “Abusive Behavior”) from any individual on the Premises. MOTA reserves the right to immediately remove any individual from the premises who is partaking in Abusive Behavior. Abusive Behavior by a Member or a Member’s guest may result in the suspension or revocation of the Member’s membership status. 

 

  1. WAIVER OF LIABILITY. Members and guests assume full responsibility for their use of the Premises and release MOTA from any and all claims, including, but not limited to those caused in whole or in party by the negligence of MOTA and shall indemnify MOTA, the owner of the Premises location, its affiliates, agents and employees against any and all liability arising out of use of the Premises,
